NO PURCHASE NECESSARY TO PARTICIPATE IN PROMOTION

1. Eligibilty:

The Smithfield/Weis Markets Paula Deen Sweepstakes (the "Promotion") is offered only to individuals who are legal U.S. residents residing in Maryland, New Jersey, New York, Pennsylvania or West Virginia and who are at least 18 years old at the time of participation. Employees, officers and directors of The Smithfield Packing Company, Incorporated ("Sponsor") and Weis Markets their respective parents, affiliated and subsidiary companies, advertising and promotional agencies, web masters and web suppliers and persons engaged in the development of Promotion materials, and members of the immediate family (parents, siblings, children and spouse, wherever they reside) or household members (whether or not related) of such employees, officers and directors are not eligible. Groups, clubs, organizations, commercial entities, and businesses cannot participate.

2. Promotional Period:

Promotion begins at 12:00:01 a.m. ET on August 21, 2011 and ends at 11:59:59 p.m. ET on September 18, 2011 ("Promotion Period").

3. How to Participate:

During the Promotion Period, customers will automatically receive one entry for every Smithfield product purchased at any Weis Market using their Weis Preferred Shopper Club Card ("Club Card"). How to enter the Promotion without a purchase: The Club Card is free to any consumer, requiring no fee for membership or registration. Use of the Club Card requires no obligation on the part of the consumer. Alternative means of entry to this Promotion is achieved by sending a U.S. Postal Service postcard directly to: Electronic Marketing, PO Box 471, 1000 South Second Street, Sunbury, PA 17801-0471. All entries must be postmarked by September 12, 2011 and received by September 19, 2011. Postcard must contain on the reverse side; a) the name of the sweepstakes, b) your first and last name, address, city, state, zip code and date of birth, and c) your Club Card number. Entries without this information or proper postmark will be disqualified. To enter from September 13, 2011 through 11:59 PM ET on September 18, 2011, you may send an email with your first name, last name, city, state, zip code, date of birth and your Club Card number to pauladeensweeps@dja.com to receive one entry into the Promotion. All eligible entries must be received by 11:59 PM ET on September 18, 2011 to be eligible for the Grand Prize drawing. All entries must be complete to be eligible. All entries become property of the Sponsor and will not be returned. Use of computer programs and other automatic means to enter the Promotion is prohibited and will result in disqualification. Normal Internet access, phone and usage charges imposed by your online or phone service may apply. Normal phone/usage/subscription access charges imposed by your phone service provider will apply.

4. Sweepstakes - Prizes, and Odds:

The Grand Prize winners will be selected in a random drawing on or about September 20, 2011, from among all eligible entries received by Sponsor during the Promotion Period. Odds of winning the Grand Prize depend on the total number of eligible mailed/emailed entries received throughout the Promotion Period. The random drawing will be conducted by the Promotion Administrator, whose decisions will be final on all matters relating to this Promotion.

Sweepstakes Prizes:

Grand Prize (125) Winners- Each winner receives: (2) tickets to see Paula Deen Live! in Hershey, PA at a Sponsor-specified location (the "Event") on September 30, 2011 (each winner's prize ARV $100) (Total ARV $12,500.00). Prizes must be used on date specified by Sponsor or prize will be forfeited. Transportation to/from the Event is not included. In the event the Event is cancelled or pre-empted for reasons out of Sponsor's control, Sponsor will award a prize of equal or greater value. Prizes will be awarded and winners will be automatically sent their prize to the address associated with their Club Card within 48 hours of the Event. Odds of winning a prize depends upon the number of eligible entries received during the Promotion Period.

5. Conditions for All Prizes:

No prize can be substituted, assigned, transferred or redeemed for cash, but Sponsor reserves the right to substitute a prize of equal or greater value should any prize become unavailable. Expenses not stated are the sole responsibility of the prize winner. If a prize winner cannot accept a prize as stated, the prize will be forfeited in its entirety, and may be awarded to an alternate winner. Taxes, if any, are the sole responsibility of winners.

6. General Conditions:

The Sponsor is not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or for any of the equipment or programming associated with or utilized in this Sweepstakes or by any human error which may occur in the processing of the entries in this Sweepstakes. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Sweepstakes, or Website; violates these Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the online or automatic portions of the Promotion if they are not capable of running as planned, including, but not limited to, the following reasons: infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of the Sponsor, and Sponsor will have the right to award the Promotion prizes to eligible entries chosen in a random drawing from among all eligible entries received prior to the action requiring such modification and all eligible mailed/emailed entries received. In the event of a dispute as to the identity of a winner, the entry will be deemed made by the authorized account holder. The "authorized account holder" is the natural person assigned a Club Card number. The Sponsor shall have no liability or responsibility for any claim arising in connection with participation in this Promotion or any prize awarded. Participants assume all liability for any injury or damage caused, or claimed to be caused, by participation in this Promotion or the redemption, use or mis-use of any prize. Information collected from entrant is used only for the purpose of the prize drawing and for prize fulfillment, and will not be re-used, sold or shared in any manner. Notice to entrants: Internet access and usage charges applicable to an entrant's account, including, local, long distance, 800#, or 888# access charges to connect to any other Internet provider, and/or any usage charges applicable under entrant's pricing plan and any applicable taxes will continue to apply while an entrant is online in connection with this Promotion, and will be the sole responsibility of such entrant.

The Sponsor makes no warranties, and hereby disclaim any and all warranties, express or implied, concerning any prize furnished in connection with the Promotion. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

Sponsor shall have no liability for prize that is not received by a winner for any reason. Acceptance of a prize constitutes winner's permission for the Sponsor to use winner's name, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. Entrants (and any minor entrant's parent or legal guardian) agree that the Sponsor (A) shall not be responsible or liable for, and are hereby released from, (i) any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Promotion or any Promotion-related activity, or from entrants' acceptance, receipt, possession and/or use or misuse of any prize, (ii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iii) the entrant's claim that he or she has somehow been defamed or portrayed in a false light; (iv) late, lost, delayed, stolen, misdirected, postage-due, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; and (v) any printing, typographical, human administrative or technological errors in any materials associated with the Promotion; and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality or fitness for a particular purpose.

By participating in this Promotion and/or by accepting the prize that they may win, each entrant agrees to release and indemnify the Sponsor and each of their respective parent, subsidiary and affiliated companies, units and divisions and advertising and promotional agencies and prize suppliers; each of their respective officers, directors, agents, representatives and employees; and each of these companies and individuals' respective successors, representatives and assigns from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Promotion and/or acceptance, use, or misuse of the prizes.

7. Verification:

Sponsor reserves the right to request that any participant forward to Sponsor proof of eligibility and/or photo identification in a form determined by Sponsor. Failure to comply with this request within the time stated in the request may cause disqualification.

8. Limitations of Liability:

Sponsor is not responsible for lost, late, incomplete, stolen, or illegible entries. The right is reserved by Sponsor at their sole discretion, to disqualify any individual found, at their sole discretion, to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

9. Dispute Resolution / Choice of Law:

Except where prohibited, participants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Promotion shall be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in Norfolk, VA and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Promotion but in no event attorneys' fees; and (c) under no circumstances will participant be permitted to obtain awards for and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and/or Sponsor in connection with this Promotion, shall be governed by, and construed in accordance with, the laws of the State of Virginia without regard for conflicts of law doctrine of any jurisdiction.

10. Winners List:

For the names of winners, mail a self-addressed stamped envelope to: The Smithfield/Weis Paula Deen Sweepstakes Winners List, 100 Marcus Drive (Dept. AL), Melville, NY 11747 for receipt by September 29, 2011.
